These Terms of Service ("Terms") govern your access to and use of Leitara's website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. The Service
Leitara provides software tools designed to support clinical workflows, including in-session organization and between-session engagement.
Leitara:
- is not an electronic health record (EHR) system
- does not provide medical, clinical, or therapeutic services
- does not replace professional judgment or clinical responsibility
Clinicians remain solely responsible for the care they provide and for compliance with applicable laws and professional standards.
2. Eligibility
You must be legally able to enter into a binding agreement to use the Service.
If you are using the Service on behalf of a practice or organization, you represent that you have authority to bind that entity to these Terms.
3. Accounts and access
To use certain features, you must create an account.
You agree to:
- provide accurate and complete information
- keep your login credentials secure
- notify us promptly of any unauthorized access or security incident
You are responsible for all activity that occurs under your account.
4. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You may not:
- misuse or interfere with the Service
- attempt to access systems or data you are not authorized to access
- reverse engineer, copy, or resell the Service
- use the Service in a way that violates applicable laws, regulations, or professional obligations
We reserve the right to suspend or terminate access if the Service is used in violation of these Terms.
5. Clinical and client data
Clinicians control the clinical and client data they input into the Service.
You represent and warrant that:
- you have the right to collect and use any data you enter
- you are responsible for obtaining any required client consents
- your use of the Service complies with applicable privacy and healthcare laws
Leitara processes data only to provide the Service and in accordance with our Privacy Policy and applicable agreements.
6. HIPAA and compliance
Leitara is designed to support HIPAA-aligned workflows.
Where applicable:
- we act as a service provider or business associate
- a Business Associate Agreement (BAA) is available upon request
- data is handled in accordance with applicable healthcare regulations
Nothing in these Terms is intended to shift legal or professional responsibility away from the clinician or practice.
7. Fees and payment
Certain features of the Service may require payment.
If fees apply:
- pricing will be disclosed before you are charged
- fees are billed on a per-clinician or subscription basis, as applicable
- payments are non-refundable unless otherwise stated
We may modify pricing with reasonable notice. Continued use of the Service after pricing changes constitutes acceptance of the new pricing.
8. Intellectual property
The Service, including software, content, and design, is owned by Sprockets Technologies LLC or its licensors and is protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Service as intended.
You retain ownership of your data. We do not claim ownership of clinical or client content.
9. Confidentiality
We treat user and client data as confidential and handle it in accordance with our Privacy Policy and applicable agreements.
You agree to maintain the confidentiality of any non-public information you obtain through the Service.
10. Service availability and changes
We strive to keep the Service available and reliable, but availability is not guaranteed.
We may:
- modify or update the Service
- add or remove features
- suspend access for maintenance or security reasons
We are not liable for interruptions or changes made in good faith to operate or improve the Service.
11. Disclaimer of warranties
The Service is provided "as is" and "as available."
To the fullest extent permitted by law:
- we disclaim all warranties, express or implied
- we do not warrant that the Service will be uninterrupted or error-free
- we do not guarantee outcomes from use of the Service
12. Limitation of liability
To the fullest extent permitted by law, Leitara and Sprockets Technologies LLC shall not be liable for:
- indirect, incidental, or consequential damages
- loss of data, profits, or business
- damages arising from misuse of the Service or reliance on the Service
Our total liability will not exceed the amount paid by you for the Service in the preceding twelve months.
13. Indemnification
You agree to indemnify and hold harmless Leitara and Sprockets Technologies LLC from claims arising out of:
- your use of the Service
- your violation of these Terms
- your violation of applicable laws or professional obligations
14. Termination
You may stop using the Service at any time.
We may suspend or terminate access if:
- these Terms are violated
- required by law
- continued operation poses security or legal risk
Upon termination, access to the Service will end, subject to applicable data retention obligations.
15. Governing law
These Terms are governed by the laws of the United States and the state in which Sprockets Technologies LLC is organized, without regard to conflict of law principles.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means.
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
